Terms of Service

The short version: we do good work, we're honest about what things cost and how long they take, you own what we build for you, and we both agree to treat each other fairly. The rest of this document spells that out properly.

1. Who these terms apply to

These terms apply to anyone who engages Building Brain Digital (operated by Jay Armstrong, Taree NSW) to build a website, digital tool, client portal, or any other service. By signing a project agreement or accepting a quote, you agree to these terms.

2. What we do

Building Brain Digital builds custom websites and digital tools for small businesses. Work includes website design and development, Google and SEO setup, client portals, booking tools, calculators, and ongoing monthly care plans. All work is custom — we don't use page builders or template systems.

3. Quotes and scope

Every project starts with a clear written quote covering what's included, what it costs, and an estimated timeline. We don't start work until you've agreed to the scope in writing (via the client portal or email).

If the project scope changes after we've started — new pages, new features, significant changes to the brief — we'll discuss it and agree on any additional cost before proceeding. We won't charge for minor changes or additions that fall within the original spirit of the brief.

4. Payment

All prices are in Australian dollars and include GST where applicable.

5. What you need to provide

To complete your project on time, we need:

Delays in providing content or feedback may push back your launch date. We'll always communicate clearly if this happens.

6. Who owns what

You own the finished website. Once the final payment is made, full ownership of the website code, design, and content transfers to you. You own your domain. You own your Google accounts. You own everything.

Building Brain Digital retains the right to display completed work in our portfolio unless you specifically ask us not to.

Third-party assets (stock photos, fonts, icon libraries) remain subject to their own licences. We'll let you know if any of these apply to your project.

7. Monthly care plan

The monthly care plan runs month-to-month with no lock-in. You can cancel at any time with 30 days notice. The first 3 months are included free with every new build.

The care plan includes hosting on Cloudflare, 24/7 uptime monitoring, a monthly performance report, minor content updates, and direct access to Jay for support. Major additions or redesigns are scoped and quoted separately.

If you cancel the care plan, we'll help you migrate your site to your own hosting and ensure you have everything you need to manage it independently.

8. Revisions and changes

Every project includes a review phase where you can request changes. We include two rounds of revisions in every quoted price. Additional revision rounds beyond that are charged at an agreed hourly rate.

Once a site is live, minor updates are included in the monthly care plan. Significant new features or redesigns are scoped as new work.

9. Timelines

We give an estimated timeline with every quote. Timelines are good-faith estimates based on scope and current workload — they're not guaranteed. The most common cause of delays is waiting on content from clients.

We'll always communicate proactively if a timeline changes and will never go quiet on you.

10. Limitation of liability

Building Brain Digital is not liable for any loss of business, revenue, or data resulting from website downtime, third-party service outages (Google, Cloudflare, Stripe), or delays outside our control.

Our total liability to you in connection with any project is limited to the amount you paid for that project.

11. Confidentiality

We treat everything you share with us as confidential. We won't share your business information, discovery answers, credentials, or project details with anyone outside of Building Brain Digital without your permission.

12. Cancellation

If you need to cancel a project after work has started, the deposit is non-refundable. If significant work has been completed beyond what the deposit covers, we may invoice for work done to date. We'll always be fair about this.

If Building Brain Digital needs to cancel (which is rare), we'll refund any amount paid beyond work completed and help you find a suitable alternative.

13. Governing law

These terms are governed by the laws of New South Wales, Australia. Any disputes will be resolved in NSW courts. We'd always prefer to sort things out directly first — reach out and we'll find a fair solution.
